1. Introduction
These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User" or "you") and Ilya Zabolotnov ("Operator", "we", "us", or "our") governing your access to and use of WineMarkets.Co (the "Service"). By registering for or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Access and Account Security
To access certain features of the Service, you must register for an account. You agree to provide accurate information and to keep your password confidential. You are responsible for all activities that occur under your account. We reserve the right to disable any user account at any time in our sole discretion for any or no reason, including if, in our opinion, you have failed to comply with any provision of these Terms.

3. Intellectual Property Rights
The Service and its entire contents, features, and functionality (including but not limited to all wine market statistics, data compilations, database structures, software, text, and graphics) are owned by the Operator and are protected by copyright, trademark, and other intellectual property or proprietary rights laws, unless stated otherwise.
You are granted a limited, non-exclusive, non-transferable, revocable license to access and view the data on the Service for your personal or internal business use only. You must not reproduce, distribute, modify, create derivative works of, publicly display, or resell any of the material on our Service. You may quote the data with a mention of WineMarkets.co, with a version of the software and the database. Current version: v1.0beta/2026 db Nov 2025.

4. Prohibited Uses
You agree not to use the Service:
(a) In any way that violates any applicable federal, state, local, or international law.
(b) To access, retrieve, monitor, or copy any content or information of the Service using any robot, spider, scraper, web crawler, or other automated means or any manual process for any purpose without an express written permission.
(c) To bypass, circumvent, or violate any security measures or authentication protocols employed by the Service to prevent or limit access to the Service or specific data.
(d) To “frame,” “mirror,” or otherwise simulate the appearance or function of the Service.

5. Disclaimer of Warranties
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. THE OPERATOR DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE DATA PROVIDED IS ACCURATE, COMPLETE, OR ERROR-FREE. ANY RELIANCE YOU PLACE ON SUCH INFORMATION IS STRICTLY AT YOUR OWN RISK.

6. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL THE OPERATOR, ITS AFFILIATES, OR LICENSORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF REVENUE, LOSS OF PROFITS, OR LOSS OF DATA, EVEN IF FORESEEABLE.
IF YOU ARE DISSATISFIED WITH ANY PORTION OF THE SERVICE, YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USING THE SERVICE.

7. Assignment and Transfer
The Operator may assign, transfer, or delegate these Terms and its rights and obligations hereunder without your consent. You agree that upon such assignment (for example, to a newly formed Limited Liability Company), the assignee shall be the sole counterparty to these Terms and the Operator shall be released from all obligations.

8. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of California, without giving effect to any choice or conflict of law provision. Any legal suit, action, or proceeding arising out of or related to these Terms shall be instituted exclusively in the federal courts of the United States or the courts of the State of California.
